1. Who we are

effect.com is a trading name of Sylvent Corporation, a Delaware corporation with registered office at 131 Continental Drive, Suite 301, Newark, DE 19713, United States (“Effect”, “we”). Effect provides business-to-business software, data infrastructure and portfolio analytics to non-bank lenders and to the institutions that finance them.

Where we work. We work from the United States. The lenders we serve operate in Latin America, and the capital that funds them sits in North America and Europe.

2. What Effect is not

Effect is not, and does not hold itself out as:

• a bank, savings institution or insured depository institution;
• a lender, credit institution or loan originator. Effect does not extend credit, does not make credit decisions and does not participate in the credit decisions of its customers;
• a money transmitter or payment institution. Effect does not receive, hold, transmit or disburse funds of any customer, capital provider or third party;
• a broker or dealer registered with the U.S. Securities and Exchange Commission, and is not a member of FINRA or SIPC;
• an investment adviser registered with the SEC or with any state securities regulator;
• a nationally recognized statistical rating organization (NRSRO) or a credit rating agency. The platform displays the lender’s own reported portfolio data and measurements computed from it. It assigns no rating, grade, score or symbol to any lender, instrument or borrower, and produces no creditworthiness assessment of any entity;
• a sociedad de información crediticia or a Usuario of one. Effect holds no credit bureau licence and does not score consumers. It reads a lender’s own portfolio with that lender’s consent;
• a financial institution authorised or supervised in Mexico. Effect is not a SOFOM and is not registered with or supervised by the CNBV, Banco de México or CONDUSEF. Effect has no establishment, office, staff or agent in Mexico and carries on no activity there.

3. No advice, no recommendation, no offer

Nothing on this site or in the Effect platform is investment, financial, legal, accounting or tax advice, an offer or solicitation to buy or sell any security or financial instrument, a recommendation to enter into or refrain from any transaction, or an opinion on the merits of any lender, portfolio, facility or investment. Information is provided for the recipient’s own analysis. Each capital provider reaches its own independent decision on its own diligence. Each lender makes its own credit decisions under its own policies.

What the outputs are, and what they are worth. Everything the platform produces is a measurement of data a lender reported, and not a statement of fact about the creditworthiness of any person. It should be weighed, if at all, as one input among others in a credit or investment decision, and never as the decision itself. It addresses only what the reported portfolio data shows, and it does not address liquidity risk, market risk, currency risk, operational risk, legal risk or any other risk.

On regulatory use. Effect outputs are not a substitute for any regulatory rating, certification, filing or determination where applicable law requires one.

4. Preparation and presentation of information

Where separately agreed in writing, Effect prepares and presents information about a lender. Any fee is for the preparation and presentation of information and is not contingent on any financing being obtained. Those services are limited to preparing and presenting information about the lender’s business and loan portfolio. Effect does not offer or sell securities, does not solicit purchases of securities, does not negotiate or structure financing terms, does not receive or hold funds or securities of any party, and does not act as a placement agent or underwriter. Effect does not guarantee that financing will be obtained, on any terms or at all. All terms are agreed solely between the lender and the capital provider.

We are a third party to your financing. Effect is not a party to any facility, loan, security, subscription or other transaction between a customer and anyone else. It is not a counterparty, not a guarantor, not an agent of either side, not a fiduciary, and not in the flow of funds.

5. Illustrative data

Dashboards, screenshots, company names, portfolios, figures, timelines and outcomes shown on this site are demonstration data created for illustration. They do not represent actual customers, actual portfolios, actual transactions or actual results, and may not be relied upon as such.

6. Forward-looking statements

Statements about future performance, timelines, availability of capital or results are forward-looking and subject to risks and uncertainties. Illustrated or past results are not a guide to future results.

7. Third parties

This site may reference or link to third-party institutions, data providers and products. Effect does not endorse them and is not responsible for their content, services or conduct.

8. Jurisdiction

This site is operated from the United States and is directed at businesses and institutional counterparties. It is not directed at retail investors or consumers, and is not an offer of any product or service in any jurisdiction in which such an offer would be unlawful.
